How to Structure, Scale and Protect a Business From Scratch | Operator Standard Q&A - EP 310

I sat down with a room full of operators from East Tennessee and told them to throw every business question they had at me. No script, no filter. Just real questions from people actually building and the same answers I'd give if we were sitting across the table.

When it actually makes sense to acquire another business versus pouring that money into what you already have and the expensive mistake I made expanding into too many territories before I dominated the one I was in. If I could go back, I'd build ten locations and make each one the go to place in its city, instead of spreading myself across eighty and watching them all spin their wheels. I got into how I actually structure my companies. Separate LLCs for each business so nothing cross-contaminates in a lawsuit, a management services agreement running up to a Delaware based mother ship, and management fees flowing out to personal LLCs so there are layers of protection around your income. I'm not your attorney or your CPA and you need to have that conversation with your own tax person, but I walked them through exactly how mine is built and why.

We talked vertical integration, how to look at your P&L, find your highest cost of goods and decide whether to negotiate it down, partner strategically or acquire a piece of the supplier so you're getting your product at cost. I explained why I'd avoid taking out loans at almost any cost when you're starting, why learning to run a business with no money is what makes you resourceful and why handing a broke operator a pile of cash usually ends the same way it ends for lottery winners. And I shared the note taking system I actually used to build everything, the part nobody does, which is going back and applying one lesson at a time instead of just collecting notes you never use.
